Scope & eligibility
These proposed terms concern access to the REPONS interface and its borrowing and lending functions. References to investors mean liquidity providers using the protocol; no ownership interest in REPONS is offered by depositing USDG.
Use is intended for adults with legal capacity acting for themselves, or authorized representatives of an entity. Users must assess whether access and each transaction are lawful in their location and comply with applicable sanctions and restrictions. Website availability does not establish eligibility or regulatory authorization.
Nature of the service
REPONS provides an interface to smart contracts on Robinhood Chain. Funds deposited as collateral or liquidity are controlled by contract rules rather than remaining freely spendable in your wallet. REPONS is independent of Robinhood and of the issuers of displayed stock tokens.
Information is general product information, not personalized investment, legal or tax advice. REPONS does not promise profits, capital protection, deposit insurance or a particular liquidity level. Token names and logos identify assets; they do not imply endorsement.
Wallets & transaction responsibility
Review every address, network, approval, quote, deadline and gas estimate before signing. Keep keys secure and use only assets supported by the selected contract. Incorrect networks, malicious approvals or lost credentials may cause unrecoverable loss.
Transactions that have settled onchain generally cannot be canceled by an interface operator. A failed transaction may still cost gas. UI estimates can change or be unavailable; inspect the transaction and current contract state.
Borrower conditions
Collateral remains locked until the position is repaid or settled under contract rules. Borrowers owe principal plus the full fixed-term interest, including on early repayment. The quote and position record identify the payment amount, maturity and applicable parameters.
Borrowers must monitor collateral and repayment deadlines. Unsafe or overdue positions can be liquidated without a further personal reminder. Liquidation may result in loss of collateral.
Liquidity provider conditions
Deposits create participation in a specific pool, not a guaranteed savings balance. Withdrawals are unavailable while that pool has active positions. A maturity date does not promise immediate withdrawal if positions have not settled.
Returns vary with utilization, recovered interest, fees and losses. Pool shares may redeem for less than the original deposit. Review cycle restrictions and bear the possibility of partial or total loss.
Fees & taxes
Users pay network fees and the costs disclosed by applicable market parameters. Rates shown in the market table are borrower APR before lender fees, not promised investment yields.
Users are responsible for assessing reporting and tax obligations applicable to their circumstances. No particular tax treatment is promised.
Material risks
Risks include smart-contract defects, malicious attacks, compromised administrator keys, oracle errors, delayed updates, token issuer restrictions, stablecoin depegging, network failures and insufficient liquidation liquidity.
No independent audit report is represented as available. A single administrator wallet is configured, and the production oracle does not use a sequencer heartbeat guard. Technical checks cannot remove these risks.
Administrative changes, pausing, provider outages or interface maintenance may affect access and new transactions. Neither uninterrupted operation nor continuous keeper coverage is guaranteed.
Acceptable use
Do not use the interface for unlawful activity, fraud, manipulation, unauthorized access, or disruption of other users or infrastructure. Do not misrepresent affiliation with REPONS or asset issuers.
Do not send secret recovery phrases, private keys or account passwords in a support request. Send support requests, complaints and security reports to support@repons.app. Include a public transaction hash when relevant, but never include wallet secrets. No response time is guaranteed.
Public transactions & third parties
Wallet addresses, approvals and transactions on public blockchains can be visible and persistent. Wallet software, RPC infrastructure and hosting providers may process technical information under their own terms.
This document is not a privacy policy. A separate operator-specific privacy notice is needed to describe actual collection, retention, processors and user rights.
Rights, disputes & changes
Nothing in this draft purports to waive rights or liabilities that applicable law does not allow to be waived. No arbitration requirement, liability cap or governing jurisdiction is specified without operator and legal confirmation.
Material revisions should be dated and made available before being presented for acceptance. Changing website text does not itself change an existing onchain position or retroactively establish user consent.
